On May 1, Bloomberg reported that Cerebras is now targeting up to $4 billion in its IPO at roughly a $40 billion valuation, with formal marketing set to begin as soon as Monday and pricing aimed for mid-May. That is a 74% mark-up from the $23 billion Series H Cerebras struck in February, and roughly double the $2 billion / mid-$20s figure underwriters were socializing as recently as March. The leak landed during US hours and the xyz:CBRS perp tape responded almost one-for-one — a 22.53% repricing over 23 hours to keep up with the new headline number. The volume profile fits: $2.95M of 24-hour turnover on this perp is meaningful for a HIP-3 market that was pricing on $10K of flow a few sessions ago.
Why the Book Is $10B Heavy
The same Bloomberg story said the syndicate has already taken indications of interest north of $10 billion against a $4 billion deal — roughly 2.5x oversubscribed before the roadshow has even started. The reason that book exists is one customer. In January, Cerebras signed a multi-year master agreement with OpenAI worth more than $20 billion for 750 megawatts of inference compute through 2028, with OpenAI receiving warrants that can scale to roughly 10% of Cerebras equity. Pair that with 2025 revenue of $510 million that flipped the company from a $481M net loss to $87.9M of net income, and $40 billion stops looking absurd — it starts looking like a forward-revenue trade on that single OpenAI contract holding up. That is the bet the IOIs are making, and that is why CBRS is the first AI IPO of 2026 anyone is actually chasing.
The Basis Has a Deadline
The CBRS perp is a dated instrument, not a forever swap. Per trade.xyz's IPOP spec, if Cerebras lists on Nasdaq by May 30 the market converts to a standard externally-priced CBRS perpetual the day the stock opens — at which point the mark snaps to the IPO print. If the listing slips past May 30, the contract enters its settlement window and resolves to the time-weighted average price of the perp itself from launch through the settlement date (no later than July 30). That second path is why pumping the mark today is not a free option — every print you set is folded into the eventual settlement number. At $298 the perp is at roughly 2.6x Forge's $113.50 secondary clear and 1.6x Hiive's $184.87 mark, but those secondaries were quoted against a $23B private valuation that is now stale by every account. With pricing targeted for mid-May, the convergence event is two to three weeks out, and the 5x leverage cap means funding is the real cost of being long the basis.
