What GoPro Is in 2026

GoPro, Inc. (NASDAQ: GPRO) makes action cameras. That is still the whole business: the HERO line, the Quik app, and a subscription and cloud tier that supplies the only recurring revenue in the model. Founder Nick Woodman is still CEO. In 2026 the company tried to move upmarket with the MISSION 1 compact cinema line, including the MISSION 1 PRO ILS launched in late August, aimed at professional creators rather than the shrinking consumer helmet-cam market.

The numbers underneath are hard to argue with. Q2 2026 revenue was $104.9 million, down 31.3% year over year, on a $51 million net loss, with camera sell-through of roughly 291,000 units — down 38%. Trailing-twelve-month revenue sits near $568.6 million against a $162.2 million net loss on about 184.5 million shares outstanding. The company cut 23% of its workforce during 2026 and disclosed substantial doubt about its ability to continue as a going concern. The 52-week range runs $0.57 to $3.05, which tells you most of what you need to know about the realized volatility here.

This is not a growth equity with a temporary problem. It is a distressed small cap that has been actively shopping itself since the board announced a strategic review in May 2026.

The Two Events That Repriced GPRO

Two unrelated catalysts landed within about ten days, and both matter for anyone trading the perp today.

First, the retail flow. YouTube creator Mark Fischbach — Markiplier — filed a Schedule 13G on August 20, 2026 disclosing an 8.5% passive stake worth roughly $9.3 million, making him the largest external shareholder. When the filing circulated, shares closed Monday at $0.88, up 46%, and traded to $1.56 Tuesday morning for a two-day gain above 128%. That move also pushed the stock back over the Nasdaq $1.00 minimum bid threshold, though compliance requires the closing bid to hold at or above $1 for ten consecutive business days.

Second, and far more important, the fundamental one. On September 1, 2026, GoPro entered a definitive merger agreement with Starman Optical, Inc., a privately held optical-photonics company that manufactures U.S.-made optical transceivers for AI data center, government, defense, and aerospace end markets. Terms: an aggregate $285 million cash payment, or $1.14 per share, subject to net-working-capital adjustment, with GoPro holders also retaining roughly 10% of the outstanding shares of the combined company. GoPro's roughly $92 million of debt gets repaid in full at closing. The company stays listed on Nasdaq, Woodman stays CEO, and Starman's Charles Tebele brings the photonics business in. Houlihan Lokey provided the fairness opinion; Fenwick & West acted as legal counsel. Close is expected by year-end 2026, subject to regulatory and stockholder approvals.

Strip the narrative away and GPRO stopped being a camera-company story on September 1. It became a deal spread with a stub attached.

How the io:GPRO HIP-3 Perp Works

GPRO trades on Hyperliquid as a builder-deployed perpetual under the io namespace, operated by Entropy, a HIP-3 deployer that lists global equities, commodities, and indices. Hyperliquid itself did not list this market — a staked builder did.

HIP-3 is the mechanism. A deployer stakes at least 500,000 HYPE and then controls the market's parameters: which asset, which oracle sets the mark price, margin requirements, leverage caps, and funding configuration. HyperCore supplies the matching engine, the margin system, and settlement; the builder supplies pricing and the market itself. Validators can slash the deployer's stake by stake-weighted vote if a market is run maliciously. HIP-3 markets carry fees at twice the core rate — a 3 bps maker and 9 bps taker base, with a share routed to the deployer.

What that means practically for io:GPRO: collateral is USDC, there is no expiry and no delivery, funding accrues to hold the contract near the oracle's reference for GoPro's share price, and the cap is 5x leverage. Recent 24-hour volume is about $11.1 million, with the contract trading near $1.36. You never touch a GoPro share, never open a brokerage account, and never wait for the Nasdaq open — you take USDC-margined exposure to an oracle price, self-custodially.

Key Trading Considerations

The spread is the trade. Deal consideration is $1.14 in cash plus about 10% retained equity. With the perp near $1.36, the market is implying roughly $0.22 per share of value for the stub in the post-merger photonics business. If you are long here, that is what you are actually paying for — not action cameras. If you think the AI-optics stub is worth more than that, you are long the spread; if you think the cash is the ceiling, you are short it.

Break risk is not theoretical. The cash portion is subject to net-working-capital adjustment, and closing needs regulatory and stockholder approvals. If the deal fails, the standalone company is the one with a going-concern disclosure, a 31% revenue decline, and a Morgan Stanley price target cut to $0.50 issued in August. The $0.57 52-week low is a live reference point, not a historical curiosity.

Dilution overhang persists. GoPro sought authorization for up to $800 million in Class A shares, including up to $100 million newly issued. A higher share price makes issuance more attractive to management, which is an asymmetry worth pricing.

Liquidity and leverage cut both ways. Roughly $11 million of daily volume is thin for a name with this much headline risk. The 5x cap is lower than typical crypto perps and that is appropriate here — but with a stock beta reported near 2.44 and event-driven gaps, 5x is still enough to liquidate you on a single headline. Size for the gap, not the average day.

Off-hours and halts are a real exposure. The perp runs continuously; Nasdaq does not. GPRO was halted on September 1 before the merger announcement and resumed at 10:00 AM EDT. During halts, weekends, and overnight sessions, the oracle reference can be stale or thin while the perp keeps marking positions and accruing funding.

Corporate actions are the underrated risk. If the merger closes by year-end 2026, shareholders receive cash and hold a materially different, restructured company under the same ticker. How the deployer's oracle and contract handle that transition is a builder decision, not a Hyperliquid protocol guarantee. Deployers can also adjust parameters or wind down markets. Read the market's terms before you hold size through the closing date.
